Terms & Conditions

These Terms govern the relationship between We2 Design ("We2", "we", "us") and any client ("you", "client") who engages us for design, branding, web, or related creative services. By signing a proposal, sending a deposit, or otherwise accepting an engagement, you agree to these Terms.

1. Services & Scope

The specific deliverables, timeline, and fees for each engagement are defined in a written proposal or statement of work ("SOW") that supplements these Terms. The SOW prevails over these Terms if there is a direct conflict on a specific point.

2. Fees, Payment & Schedule

• Unless the SOW states otherwise, projects are billed 50% upfront as a non-refundable retainer to reserve calendar time, with the balance due on delivery.
• Retainers and recurring engagements are billed monthly in advance.
• All invoices are payable within 7 days from the invoice date.
• Late payments may attract a 2% per month service charge and a pause on active work until the account is cleared.

3. Revisions

Each deliverable includes the number of revision rounds specified in the SOW (typically two). Additional rounds are billed at our prevailing hourly rate, agreed in writing before work begins.

4. Timeline & Client Inputs

Timelines assume timely feedback, approvals, and content delivery from your side. If client inputs are delayed beyond five business days, the project timeline shifts accordingly and we may re-quote if the delay forces calendar rework.

5. Intellectual Property

• You retain full ownership of all final, approved, paid-for deliverables on full payment of the project invoice.
• We retain ownership of working files, unused concepts, source code libraries, and internal templates unless explicitly transferred in writing.
• We may showcase the completed work in our portfolio, social channels, and case studies. If a project is under NDA or pre-launch confidentiality, please flag it in writing before kickoff.

6. Third-Party Assets

Fonts, stock imagery, plugins, and any other licensed third-party assets used in deliverables are licensed in your name where required. You are responsible for maintaining those licenses post-handover.

7. Confidentiality

Both parties agree to keep non-public information about the other confidential and use it only for the purpose of the engagement. This obligation survives the end of the engagement.

8. Cancellation & Refunds

You may cancel an engagement in writing at any time. Work completed up to the cancellation date is billable in full, and the upfront retainer is non-refundable. We may pause or terminate an engagement if invoices remain unpaid past 30 days or if work becomes commercially or ethically unworkable; in that case, only work delivered is billable.

9. Warranties & Liability

We deliver work to a professional standard but do not guarantee specific business outcomes (traffic, revenue, ranking, conversions). Our total aggregate liability for any claim arising from an engagement is limited to the fees actually paid by you for the engagement in question.

10. Governing Law

These Terms are governed by the laws of India. Any disputes are subject to the exclusive jurisdiction of the courts of Maharashtra.

11. Changes to These Terms

We may update these Terms from time to time. The version in force at the date you sign your SOW applies to that engagement.
